1. Introduction

Welcome to OpenVakil (openvakil.com). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OpenVakil ("Company," "we," "us," or "our") governing your access to and use of our website, mobile applications, and all related services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately cease using the Platform.

These Terms apply to all visitors, registered users, and any other persons who access or use the Platform. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

2. Description of Services

OpenVakil is a technology platform that provides AI-assisted legal notice drafting and dispatch services. Our Platform enables users to generate legally formatted notices for various purposes including, but not limited to, money recovery, cheque bounce matters under Section 138 of the Negotiable Instruments Act, property disputes, consumer complaints, salary and employment disputes, breach of contract, builder/RERA complaints, and matrimonial matters.

Our services include the following core features:

• AI-powered conversational interface to gather relevant case details from users
• Automated drafting of legal notices based on the information provided
• Review and editing capabilities for generated notices
• Multi-channel dispatch of notices via Registered Post (India Post), Email, and WhatsApp
• Tracking of dispatch status across all channels
• Secure storage and retrieval of order history and notice documents

The Platform operates on a tiered service model offering Self-Serve, Standard, and Premium plans, each with varying levels of features and support. The specific features and pricing of each tier are displayed on the Platform and may be updated from time to time at our sole discretion.

3. Important Disclaimer

OpenVakil is a technology platform, NOT a law firm. We do not provide legal advice, legal representation, or attorney-client services of any kind. The use of the Platform does not create an attorney-client relationship between you and OpenVakil or any of its employees, agents, or affiliates. The notices generated through our Platform are based on the information you provide and general legal templates. They are not a substitute for professional legal counsel. We strongly recommend that you consult with a qualified legal professional before taking any legal action. OpenVakil shall not be held responsible for any legal consequences arising from the use of notices generated through the Platform.

4. User Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• You are a resident of India or have a valid Indian address for the purpose of sending and receiving legal notices within India.
• You have the legal capacity and authority to enter into a binding agreement.
• You are not barred from using the Platform under any applicable laws of India.
• If you are using the Platform on behalf of an entity (such as a company, partnership firm, LLP, or trust), you have the requisite authority to bind that entity to these Terms.
• All information you provide on the Platform is true, accurate, current, and complete to the best of your knowledge.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we have reason to believe that a User does not meet these eligibility requirements or has provided false or misleading information.

5. User Account

To access certain features of the Platform, you must create an account by providing your name, email address, phone number, and other requested information. You may also sign in using third-party authentication providers such as Google. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens.

You agree to:

• Provide accurate and truthful information during account registration.
• Promptly update your account information if any details change.
• Not share your account credentials with any third party.
• Notify us immediately at openvakil@agentmail.to if you suspect any unauthorized use of your account.
• Accept full responsibility for all activities that occur under your account, whether or not authorized by you.

We reserve the right to suspend or terminate your account if we detect any unauthorized use, suspicious activity, or violation of these Terms.

6. Service Process

The process for using OpenVakil's services is as follows:

1. Case Selection: You select the category of legal notice you wish to send from the available options on the Platform.
2. Information Gathering: Our AI-powered conversational assistant asks you a series of relevant questions to collect the necessary details about your case, including sender information, recipient information, facts of the matter, legal basis, demands, and deadlines.
3. Notice Drafting: Based on the information you provide, our system generates a draft legal notice in a professional legal format. You have the opportunity to review and request modifications to the draft.
4. Plan Selection and Payment: You choose a service tier (Self-Serve, Standard, or Premium) and complete payment through our secure payment gateway powered by Razorpay.
5. Approval and Dispatch: Once payment is confirmed and you approve the final notice, we dispatch it through the selected channels, which may include Registered Post via India Post, email, and/or WhatsApp.
6. Tracking: You can track the status of your notice dispatch through your dashboard on the Platform.

7. Payment Terms

All prices displayed on the Platform are in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated. Payment is processed securely through Razorpay, our authorized payment gateway partner. We accept payments via credit cards, debit cards, net banking, UPI, and other payment methods supported by Razorpay.

By making a payment, you agree to the following:

• You authorize us to charge the specified amount to your chosen payment method.
• You are responsible for any additional fees charged by your bank or payment provider.
• All payments are subject to verification and authorization by your payment provider and by Razorpay.
• We reserve the right to modify our pricing at any time without prior notice. However, any changes in pricing will not affect orders that have already been paid for.
• An electronic receipt or invoice will be generated and made available through your account dashboard upon successful payment.

8. Refund and Cancellation Policy

All payments made on OpenVakil are final and non-refundable once payment is successfully processed. Refunds are only issued in the event of a technical failure or system error on our end that prevents us from delivering the service. In such cases, we will either re-process your order at no additional cost or issue a full refund at our discretion.

9. User Responsibilities and Conduct

As a User of the Platform, you agree to the following:

• You shall provide accurate, truthful, and complete information when creating notices. You understand that the quality and legal validity of the notice depends on the accuracy of the information you provide.
• You shall not use the Platform for any unlawful, fraudulent, or malicious purpose, including but not limited to sending threatening, defamatory, or harassing notices.
• You shall not impersonate any person or entity or misrepresent your affiliation with any person or entity.
• You shall not attempt to interfere with, compromise, or disrupt the Platform or its servers, networks, or security systems.
• You shall not use automated tools, bots, scrapers, or other software to access or interact with the Platform without our express written permission.
• You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• You shall comply with all applicable laws and regulations of India when using the Platform.

10. Intellectual Property Rights

All content on the Platform, including but not limited to the software, design, text, graphics, logos, icons, images, audio clips, data compilations, algorithms, AI models, notice templates, and the overall look and feel of the Platform, is the exclusive property of OpenVakil or its licensors and is protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. This license does not permit you to:

• Reproduce, distribute, publicly display, or create derivative works from any Platform content.
• Use any OpenVakil trademarks, logos, or branding without our prior written consent.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Platform.

With respect to the legal notices generated through the Platform: you retain ownership of the factual content and information you provide. However, the notice templates, formatting, and underlying AI-generated structure remain the intellectual property of OpenVakil. You are granted a perpetual, non-exclusive license to use the final generated notice for your intended legal purpose.

11. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. We are committed to protecting your data in compliance with the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

12. Third-Party Services

The Platform integrates with and relies upon certain third-party services to deliver its functionality. These include:

• Razorpay: For secure payment processing. Your payment transactions are governed by Razorpay's terms of service and privacy policy.
• India Post: For physical dispatch of legal notices via Registered Post. Delivery timelines are subject to India Post's service standards.
• Google Firebase / Google Cloud: For data storage, authentication, and hosting infrastructure.
• Email Service Providers: For electronic delivery of notices via email.
• WhatsApp Business API: For delivery of notices via WhatsApp messaging.

We are not responsible for the performance, availability, or policies of these third-party services. Any issues arising from the use of third-party services should be addressed directly with the respective service provider.

13. Limitation of Liability

To the maximum extent permitted by applicable law, OpenVakil and its directors, employees, agents, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Any damages arising from the reliance on, or use of, notices generated through the Platform.
• Any legal consequences, adverse outcomes, or damages resulting from sending or not sending legal notices.
• Delays or failures in dispatch caused by India Post, email service providers, WhatsApp, or any other third-party service.
• Unauthorized access to or alteration of your data or transmissions.
• Any errors, inaccuracies, or omissions in the AI-generated content.

In no event shall our total cumulative liability to you for all claims arising from or related to the Platform exceed the amount you paid to us for the specific order giving rise to the claim. This limitation applies regardless of the legal theory under which the claim is brought, whether in contract, tort (including negligence), strict liability, or otherwise.

14. Indemnification

You agree to indemnify, defend, and hold harmless OpenVakil, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• Your use of or inability to use the Platform.
• Any violation of these Terms by you.
• Any inaccurate, misleading, or false information provided by you on the Platform.
• Any legal notice sent through the Platform based on information you provided.
• Any infringement or violation of any third-party rights, including intellectual property rights, by you.
• Any violation of applicable laws or regulations by you in connection with your use of the Platform.

15. Disclaimer of Warranties

The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, OpenVakil disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of AI-generated content.
• Any warranty that the legal notices generated will achieve your desired legal outcome.
• Any warranty regarding the delivery or receipt of notices dispatched through third-party services.

You acknowledge and agree that your use of the Platform is at your sole risk and that you are solely responsible for verifying the accuracy and appropriateness of any notice generated through the Platform before approving it for dispatch.

16. Termination

We may terminate or suspend your access to the Platform at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your right to use the Platform will immediately cease.
• We may delete or retain your account data in accordance with our Privacy Policy and applicable law.
• All payments are non-refundable. Refunds for pending orders will only be considered if we are unable to deliver the service due to a technical issue on our end.
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law provisions.

You may terminate your account at any time by contacting us at openvakil@agentmail.to. Please note that account termination does not automatically entitle you to a refund for any completed or in-progress orders.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days. If the dispute cannot be resolved through negotiation, either party may initiate legal proceedings in the courts of competent jurisdiction in Jaipur, Rajasthan.

18. Force Majeure

OpenVakil shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, epidemics or pandemics, war, terrorism, government actions or orders, strikes, lockouts, Internet or telecommunications failures, power outages, fire, flood, or any other event that is beyond our reasonable control. In such events, our obligations shall be suspended for the duration of the force majeure event, and we shall make reasonable efforts to resume performance as soon as practicable.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall be interpreted so as to best effectuate the original intent of the parties.

20. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Cancellation Policy, and Shipping & Delivery Policy, constitute the entire agreement between you and OpenVakil regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and OpenVakil with respect to the subject matter hereof. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. OpenVakil may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. Any attempted assignment in violation of this section shall be null and void.

22. Notices

Any notices or communications required or permitted under these Terms shall be in writing and shall be deemed to have been duly given when sent by email to the address associated with your account (for notices to you) or to openvakil@agentmail.to (for notices to us). You agree to keep your email address up to date on the Platform and to check your email regularly for communications from OpenVakil.

23. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the Grievance Officer for the Platform is:

The Grievance Officer shall address your concerns within thirty (30) days of receipt of your complaint. If you are not satisfied with the resolution provided, you may pursue the dispute resolution mechanisms described in these Terms.

24. Changes to Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you via email or through a prominent notice on the Platform. It is your responsibility to review these Terms periodically for any changes. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Platform immediately.
