BACKGROUND OF THE TRANSACTION: My client has been engaged in the business of supplying industrial-grade packaging materials. In the ordinary course of business, my client supplied packaging materials to your company, Vikram Enterprises Pvt. Ltd., on multiple occasions between 01/06/2024 and 30/09/2024, as evidenced by invoices numbered INV-2024-0187 through INV-2024-0214. The total outstanding amount against these invoices stood at Rs. 4,75,000/- (Rupees Four Lakh Seventy-Five Thousand Only). 2. ISSUANCE OF CHEQUE: Towards discharge of the aforesaid legally enforceable debt and liability, you issued a cheque bearing No. 456782 dated 10/11/2024, drawn on HDFC Bank, Sector 14, Gurgaon Branch, for an amount of Rs. 4,75,000/- (Rupees Four Lakh Seventy-Five Thousand Only) in favour of my client. 3. DISHONOUR OF CHEQUE: My client presented the said cheque for encashment through his bank, State Bank of India, Lajpat Nagar Branch, New Delhi, on 18/11/2024. However, the said cheque was returned unpaid and dishonoured by the drawee bank vide memo dated 20/11/2024 with the remark "Funds Insufficient." The bank returning memo is in the possession of my client and shall be produced as evidence at the appropriate stage. 4. LEGAL POSITION: The dishonour of a cheque issued for the discharge of a legally enforceable debt or liability constitutes an offence punishable under Section 138 of the Negotiable Instruments Act, 1881, which carries imprisonment for a term that may extend to two years, or a fine which may extend to twice the amount of the cheque, or both. 5. DEMAND: I, therefore, on behalf of my client, call upon you to make the payment of Rs. 4,75,000/- (Rupees Four Lakh Seventy-Five Thousand Only) within a period of fifteen (15) days from the date of receipt of this notice, by way of demand draft or online transfer in favour of my client, Rajesh Kumar. 6. CONSEQUENCES OF NON-COMPLIANCE: Please take note that in the event of your failure to make the aforesaid payment within the stipulated period of fifteen (15) days from the receipt of this notice, my client shall be constrained to initiate criminal proceedings against you under Section 138 read with Sections 141 and 142 of the Negotiable Instruments Act, 1881, before the competent court of law. In addition, my client reserves the right to initiate civil proceedings for recovery of the said amount along with interest at the rate of 18% per annum, damages, and costs of litigation. 7. Please treat this notice as a statutory notice under the proviso to Section 138 of the Negotiable Instruments Act, 1881. This notice is issued without prejudice to any other rights, remedies, and claims that my client may have against you under any law.
